These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Evolution Global Inc. ("Evolution," "we," "us," or "our") governing your access to and use of our platform, mobile application, website, and all associated financial services (collectively, the "Services"). By creating an account, accessing our Services, or otherwise using our platform, you agree to be bound by these Terms in their entirety. Please read these Terms carefully. If you do not agree, you must not register for or use our Services. These Terms incorporate by reference our Privacy Policy, Acceptable Use Policy, ESign and Electronic Communications Notice, and Stablecoin Policy, each of which forms part of this Agreement
To use Evolution's Services, you must:
• Be at least 18 years of age;
• Have the legal capacity to enter into binding contracts in your jurisdiction;
• Not be a resident of, or act on behalf of persons or entities in, jurisdictions subject to comprehensive U.S., UN, EU, or OFAC sanctions;
• Not be on any sanctions list, including the SDN List maintained by OFAC;
• Provide accurate and complete information during registration and throughout your use of the Services.
Evolution reserves the right to refuse service to any applicant or user at its sole discretion, including where eligibility requirements are not met.
You must register for an account to access Evolution's Services. During registration, you agree to provide accurate, current, and complete information and to update that information promptly if it changes. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. You must notify us immediately at hello@evolutionglobal.xyz if you suspect unauthorized access to your account, if your credentials are compromised, or if you observe any transaction you did not authorize. Evolution will not be liable for losses arising from unauthorized use of your account where you have failed to safeguard your credentials or failed to notify us promptly. We may, at our sole discretion, require additional authentication, impose transaction limits, or temporarily suspend your account where we have concerns about security or compliance.
Evolution is required by U.S. federal law to verify the identity of all users and to conduct ongoing customer due diligence in accordance with its obligations as a FinCEN-registered Money Services Business (MSB) under the Bank Secrecy Act (BSA), including its Customer Identification Program (CIP), Anti-Money Laundering (AML) program, and sanctions screening requirements. These obligations extend to all users of the platform regardless of their country of residence. You agree to provide all documentation requested for identity verification, including but not limited to government-issued identification, proof of address, Bank Verification Number (BVN), source of funds declarations, and any other information we deem necessary. Evolution reserves the right to restrict, suspend, or close accounts where verification cannot be completed to our satisfaction.
4.1 Virtual USD and EUR Accounts
Evolution provides virtual USD and EUR account details—including ACH routing numbers, Fedwire details, and SEPA IBANs—that enable you to receive international payments from global clients, platforms, and employers. All incoming USD and EUR funds are credited to a unified USD balance maintained on our platform
4.2 Virtual Naira Account
Evolution provides a virtual Naira (NGN) account that enables you to receive transfers from Nigerian bank accounts. Funds received in Naira are automatically converted and credited to your unified USD balance at the applicable exchange rate at the time of receipt. Evolution does not guarantee exchange rates and conversion rates are subject to market fluctuations.
4.4 Instant Local Currency Withdrawals
Evolution enables users to withdraw their USD balance instantly to local bank accounts in supported countries, with automatic conversion at the prevailing exchange rate at the time of withdrawal. This feature eliminates the friction of manual currency exchange and allows users to receive their international earnings directly in their local currency without requiring a separate FX step.
For Nigerian users, withdrawals from the USD balance are converted to Nigerian Naira (NGN) and disbursed directly to any CBN-licensed commercial bank account within Nigeria. Withdrawals are processed in real time or near-real time through local payment networks, subject to the receiving bank's posting schedules and applicable cut-off times.
As Evolution expands to additional countries, instant local currency withdrawal will be made available for each supported market. Applicable local currencies, supported banks, withdrawal limits, and exchange rates for each market will be disclosed within the application. The terms governing local withdrawals in each market are incorporated into this Agreement by reference.
Exchange rates applied to local currency withdrawals are determined by reference to prevailing interbank market rates at the time of execution, plus any applicable conversion fee set out in our published fee schedule. Displayed rates are indicative until execution is confirmed. Evolution does not guarantee any specific exchange rate. Once an exchange rate is locked and a withdrawal is submitted, the transaction cannot be reversed except as required by applicable law.
4.5 Virtual Dollar Card (Coming Soon)
Evolution intends to launch a virtual USD card feature that will allow users to make global payments and subscriptions. This feature is not yet live. When launched, additional terms specific to card usage will apply and will be incorporated into this Agreement.
4.6 Fees
Evolution charges fees for certain transactions and services. Current fee schedules are published on the Pricing page within our website and within the application. We reserve the right to revise fees with at least fourteen (14) days' advance notice to you by email or in-app notification. Continued use of the Services following notice of a fee change constitutes acceptance of the revised fees.
You authorize Evolution to execute transactions in accordance with your instructions submitted through the platform. Once a transaction is submitted and processed, it generally cannot be reversed, except where reversal is required by law or expressly permitted under this Agreement.
Evolution will credit your account only upon confirmed receipt of funds. We are not responsible for delays attributable to third-party payment processors, correspondent banks, blockchain network congestion, or other factors outside our control.
You warrant that all transaction instructions you submit are accurate and that you have the legal right to authorize the relevant transactions. You are solely responsible for any loss resulting from errors in your transaction instructions.
You agree not to use the Services for any purpose prohibited by our Acceptable Use Policy, including but not limited to money laundering, terrorism financing, sanctions evasion, fraud, or any activity that violates applicable law. A complete list of prohibited uses is set out in the Acceptable Use Policy.
Funds held in your Evolution account are safeguarded by our custodian partners and are not commingled with Evolution's operating capital. Evolution Global Inc. is incorporated in the United States and registered with FinCEN as a Money Services Business (MSB), in compliance with the Bank Secrecy Act (BSA) and applicable federal anti-money laundering regulations. Evolution is not a licensed deposit-taking bank. Balances are not insured by the U.S. Federal Deposit Insurance Corporation (FDIC), the Nigerian Deposit Insurance Corporation (NDIC), or any equivalent scheme, except where expressly arranged through licensed banking partners.
You are responsible for maintaining a positive account balance. If your account falls into a negative balance as a result of chargebacks, reversals, fees, or other adjustments, you agree to promptly repay the deficit. Evolution may set off any amounts owed to us against amounts payable to you.
If a payment you received is reversed, charged back, or invalidated by the originating institution for any reason, you remain liable for the full amount plus any applicable fees. Evolution may deduct such amounts from your account balance or require reimbursement from you. Persistent negative balances may result in account suspension and referral to collections.
All content on the Evolution platform—including software, designs, trademarks, logos, text, graphics, and user interfaces—is owned by or licensed to Evolution. Nothing in these Terms grants you any ownership right in our intellectual property. You may not copy, modify, reverse engineer, or distribute any part of our platform without our express prior written consent.
THE SERVICES ARE PROVIDED “AS IS” AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. EVOLUTION DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVOLUTION DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVOLUTION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EVOLUTION'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO EVOLUTION IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT BE EXCLUDED BY LAW.
You agree to indemnify, defend, and hold harmless Evolution, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms or any applicable law; (b) your use of the Services; (c) any third-party claim arising from your transactions; or (d) your violation of any third party's rights.
Evolution may suspend or terminate your account and access to the Services at any time, with or without notice, where: (a) you breach these Terms; (b) we are required to do so by law or regulatory directive; (c) we suspect fraudulent, illegal, or unauthorized activity; or (d) continued provision of Services creates legal, regulatory, or reputational risk for Evolution. You may close your account at any time by contacting support@evolutionglobal.xyz. Prior to closure, you must withdraw all available balances. Evolution will not be liable for balances that remain in closed accounts. Regulatory retention obligations continue to apply following account closure
In the event of a dispute, the parties agree to attempt to resolve the matter through good-faith negotiation for a period of fifteen (15) business days following written notice of the dispute. If the dispute remains unresolved, it shall be referred to mediation before a mutually agreed mediator. The mediator's determination shall be binding on both parties. Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction.
These Terms shall be governed by and construed in accordance with the laws of the United States of America. To the extent that Nigerian law or other applicable jurisdictions impose mandatory obligations in connection with the provision of Services to users in those territories, such obligations are incorporated herein. Any dispute not resolved by mediation shall be subject to the exclusive jurisdiction of the courts of the United States.
Evolution reserves the right to amend these Terms at any time. Material changes will be communicated to you with at least fourteen (14) days' advance notice via email or in-app notification. Continued use of the Services after the effective date of amendments constitutes acceptance.
